3.1  a reference to this Agreement is a reference to this Agreement as amended, varied, novated or substituted from time to time;
3.2  a reference to any legislation or to any provision of any legislation includes:
3.2.1  all legislation, regulations, proclamations, ordinances, by-laws and instruments issued under that legislation or provision; and
3.2.2  any modification, consolidation, amendment, re-enactment or substitution of that legislation or provision;

3.3  a word importing:
3.3.1  the singular includes the plural;

3.3.2  the plural includes the singular; and
3.3.3  a gender includes every other gender;
3.4  words denoting individuals include corporations, unincorporated associations, partnerships, trusts and joint ventures;
3.5  a reference to a party includes that party’s administrators, successors and permitted assigns;
3.6  if any act pursuant to this Agreement would otherwise be required to be done on a day which is not a Business Day then that act may be done on the next Business Day;
3.7  where a word or phrase is given a defined meaning, any other part of speech or grammatical form in respect of that word or phrase has a corresponding meaning;
3.8  a reference to two or more persons is a reference to those persons jointly and severally;
3.9  a reference to a clause or schedule is a reference to a clause of, or a schedule to, this Agreement;

3.10  a reference to a clause number is a reference to all of its sub-clauses;
3.11  a reference to dollars is stated as either United States dollars or Australian dollars;
3.12  where general words are associated with specific words which define a class, the general words are not limited by reference to that class;
3.13  the clause headings are for convenient reference only and they do not form part of this Agreement; and

3.14  in resolving inconsistencies in this Agreement:
3.14.1 this Agreement (excluding the schedules); and
3.14.2 the schedules
shall have priority in that order.

4.  TERM The Agreement commences on the date of execution thereof and continues for the duration of the supply of the Products and the completion of the Support Services unless terminated earlier.
5.  
CONTRACT ADMINISTRATION

5.1  The Supplier’s Representative and the Customer’s Representative each has authority to:
5.1.1  exercise all of the powers and functions of his or her party under this Agreement, other than the power to renew or amend this Agreement; and
5.1.2  bind his or her party in relation to any matter arising out of or in connection with this Agreement.
5.2  The Supplier must comply with all reasonable instructions given by the Customer’s Representative.
5.3  Either party may by fourteen (14) days written notice to the other change its representative.
