30.1.4 Schedule 3 -Delivery and Payment Schedule;
30.1.5 Schedule 4 -Option Schedule;
30.1.6 Schedule 5 -New Aircraft Limited Warranty Policy.
30.2  Contains the entire Agreement between the parties with respect to its subject matter; and
30.3  Supersedes any prior Agreement, understanding or representation of the parties on the subject matter.
31.  VARIATION OF AGREEMENT No amendment or modification of, nor addition to, this Agreement will be binding upon the parties unless it is in writing and signed by the Customer’s Representative and the Supplier’s Representative.
32.  WAIVER
A party’s:
32.1  Failure to exercise, or delay in exercising, a power or right does not operate as a waiver of that power or right;
32.2  Waiver or exercise of a power or right does not preclude its future exercise or the exercise of any other power or right; and
32.3  Waiver of any power or right will not be effective unless it is in writing and signed by the Representative of the party waiving its rights.
33.  GOVERNING LAW
The law of this Agreement is the law applicable in the State of South Australia, and:
33.1  The parties submit themselves to the exclusive jurisdiction of the Courts having jurisdiction in that State;
33.2  Any proceedings brought in a Federal Court must be instituted in the Adelaide registry of that Court; and
33.3  The parties undertake not to apply to transfer any proceedings to a registry of the Federal Court located in another State or Territory, or to the courts of another State or Territory.
34.  SEVERANCE
34.1  Each word, phrase, sentence, paragraph and clause of this Agreement is severable.
34.2  If a court determines that a part of this Agreement is unenforceable, invalid, illegal or void that court may sever that part.
34.3  Severance of a part of this Agreement does not affect any other part of this Agreement.
35.  READING DOWN If a word, phrase, sentence, paragraph or other clause or provision of this Agreement would otherwise be unenforceable, illegal or void the effect of that provision must so far as possible, be limited and read down so that it is not unenforceable, illegal or void.
36.  COSTS Except as otherwise provided by this Agreement, each party is responsible for its own costs and risks in relation to the negotiation and preparation of this Agreement and all things to be done under this Agreement.
37.  NOTICES
37.1  A notice, approval, direction, consent, offer, demand or other communication in connection with this Agreement must be:
37.1.1 in writing;
37.1.2 signed by an authorised representative of the relevant party; and
37.1.3 given to the recipient party:
(a)  
by hand delivery;

(b)  
by prepaid mail sent to that party; or
