23.1 The Supplier acknowledges that any claim the Customer may have against the Supplier may be set off against the Customer’s liability to pay the Supplier under this Agreement.
23.2 The rights and remedies provided under this Agreement are cumulative and not exclusive of any remedies provided by law or under this Agreement.
24.
TERMINATION
24.1 The Customer may terminate this Agreement upon ten (10) Business Days written notice in the event that the Supplier commits an Event of Default.
24.2 Without prejudice to its rights of termination pursuant to this Agreement, the Customer may by written notice to the Supplier require the Supplier to rectify an Event of Default or any other breach of this Agreement within seven (7) days of such notice.
24.3 The Customer may terminate this Agreement upon seven (7) days written notice if the Supplier has been unable or has failed to comply with a notice requiring it to rectify an Event of Default or other breach of this Agreement.
24.4 The rights of the Customer to serve notice or to terminate under this clause do not derogate from any other rights of the Customer pursuant to this Agreement, including but not limited to, any right of the Customer to terminate this Agreement and any right to initiate and maintain any action for damages or other relief.
24.5 Termination of this Agreement does not affect any accrued right or liability of the parties nor will it affect the coming into force or the continuation in force of any provision of this Agreement that is expressly or by implication intended to come into or continue in force on or after termination. Without limitation, warranty and Support Service obligations with respect to Accepted Products continue despite termination of this Agreement.
25. NO REPRESENTATIONS To the maximum extent permitted by law, the Supplier acknowledges and agrees that no representation, warranty, guarantee or other statement, express or implied, was made or given to the Supplier by the Customer prior to entering into this Agreement as to:
25.1 The volume of Products which the Supplier would be or will be required to provide; or
